Acceptance
These Terms govern your use of this website and any inquiry submitted through it. By using the site or sending an inquiry, you agree to these Terms. Engagement-specific commercial terms are governed by a separate written agreement signed by both parties.
適用
本規約は、当サイトの利用および当サイトを通じて行われるお問い合わせに適用されます。サイトの利用またはお問い合わせの送信をもって、本規約に同意いただいたものとみなします。具体的な業務委託の商業条件は、両当事者署名の個別契約書により別途定めるものとします。
Services
Alpaca Studio provides headless commerce and B2B wholesale portal development services for apparel brands. The descriptions on this site (Services, Pricing, Process, Work) are indicative and subject to revision. They do not constitute a binding offer until incorporated into a signed engagement.
サービス内容
Alpaca Studio は、アパレルブランド向けのヘッドレスEC構築および BtoB 卸売ポータル開発の受託サービスを提供します。Services / Pricing / Process / Work ページの記載は概要であり、変更される可能性があります。署名された個別契約に組み込まれるまでは、当社の確定的な申込みを構成するものではありません。
Engagement process
Engagement begins after the Diagnose phase results in a fixed scope and a signed agreement. Capacity is limited to three concurrent engagements. We reserve the right to decline or pause inquiries when capacity does not allow a careful response.
受発注プロセス
案件は、Diagnoseフェーズによりスコープが確定し、契約書に署名された後に開始します。当社の同時並行受託は最大3社までとし、適切な対応が困難な場合はお問い合わせの受付を辞退または保留する場合があります。
Fees and payment
Fees are individually quoted and confirmed in the engagement agreement. Standard payment terms are an initial deposit at signing followed by milestone-based invoicing. Payments are made by bank transfer; transfer fees are borne by the client. Third-party service fees (e.g. Shopify, Vercel) are passed through at cost.
料金と支払い
料金は案件ごとに個別見積し、業務委託契約書において確定します。標準的な支払い条件は、契約時の着手金、およびマイルストーンに基づく分割請求とします。支払いは銀行振込により行うものとし、振込手数料は依頼者の負担とします。第三者サービス利用料(Shopify, Vercel 等)は実費を請求します。
Intellectual property
Custom code and bespoke creative produced for the engagement transfer to the client upon final payment, except for: (a) Alpaca Studio internal tooling, libraries, and reusable components; (b) third-party open-source dependencies governed by their own licenses; (c) the alvana template and other studio-owned templates retained by Alpaca Studio. Each engagement agreement details the IP terms.
知的財産権
案件のために制作したカスタムコードおよび個別創作物は、最終支払い完了時にクライアントへ譲渡されます。ただし、(a) Alpaca Studio の内部ツール・ライブラリ・再利用可能コンポーネント、(b) 各々のライセンスに従う第三者オープンソース依存物、(c) alvana テンプレートその他のスタジオ所有テンプレートは、Alpaca Studio に留保されます。詳細は個別契約書において定めます。
Confidentiality
Information exchanged during inquiries and engagements is treated as confidential. We do not reference identifiable client information in proposals or external communications without prior written consent. A separate NDA is available on request and is the default for engagements that involve sensitive product, financial, or strategic information.
守秘義務
お問い合わせおよび業務遂行において交換された情報は秘密として扱います。事前の書面同意なく、特定可能なクライアント情報を提案資料または対外発信に引用することはありません。別途 NDA(秘密保持契約)を用意しており、商品・財務・戦略上の機微情報を扱う案件では原則として締結します。

Governing law and jurisdiction
These Terms and use of this site are governed by the laws of Japan. Any dispute shall be submitted to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
準拠法と管轄
本規約および当サイトの利用は、日本法に準拠します。本規約に関する紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。
